Terms of Service

1. About RefiHub

RefiHub is a technology platform operated by TGM Ventures, Inc. (“Company,” “we,” “us,” or “our”) that facilitates direct connections between business professionals seeking commercial or business-purpose financing and professional lenders offering such products. By accessing or using the RefiHub platform (the “Service”), you agree to be bound by these Terms of Service.

2. Platform Role

RefiHub is a technology platform. Our function is to facilitate direct connections and introductions between business professionals seeking financing and professional lenders. Once a connection is made, all further correspondence, negotiation, and transaction details are conducted directly between the parties. RefiHub is not a party to, and assumes no responsibility for, any agreement, communication, or transaction between users.

RefiHub is not a lender, bank, financial institution, or mortgage broker. We do not make loans, extend credit, make lending decisions, set interest rates, underwrite loans, or broker any transaction. We do not provide financial, legal, tax, or investment advice of any kind. RefiHub does not receive referral fees, commissions, a percentage of any loan origination, or any form of compensation contingent upon the closing, funding, or terms of any transaction between users. RefiHub has no financial incentive in directing any user toward any particular lender, loan product, or transaction outcome. Platform fees, if any, are subscription-based or for premium access to platform features, similar to a professional networking service, and are not tied to any lending transaction or outcome. RefiHub operates as a technology platform and information publisher, not as an agent for any lender or borrower.

3. Commercial and Business Use Only

RefiHub is designed exclusively for commercial and business-purpose financing as defined under 12 C.F.R. § 1026.3(a) (Regulation Z). The platform does not engage in consumer lending or consumer networking of any kind. The Service is not available for personal, family, or household financing purposes. Users seeking financing for personal, family, or household purposes are prohibited from using this platform. RefiHub is not a “covered person” under Title X of the Dodd-Frank Act (12 U.S.C. § 5481 et seq.) and does not offer consumer financial products or services.

4. Eligibility and User Representations

By using the Service, you represent and warrant that:

• You are at least 18 years of age and a legal resident of the United States.
• You are a business professional, business owner, investor, or authorized representative of a business entity with the knowledge and experience to independently evaluate financing options.
• You are using the platform exclusively for commercial, business, or investment purposes and not for personal, family, or household purposes.
• You have the authority to enter into agreements and conduct business on behalf of any entity you represent on the platform.
• You understand that all interactions and exchanges on the platform are between business professionals and do not constitute consumer transactions.

5. Additional Representations for Borrowers

If you use the Service as a borrower seeking financing, you additionally represent and warrant that:

• All property details, financial information, and business data you submit is accurate, complete, and not misleading.
• Any financing you seek through the platform is exclusively for commercial, business, or investment purposes.
• You have legal ownership of, or authorization to act on behalf of the owner of, any property or business listed on the platform.
• You understand that any term sheets or indications of interest you receive are preliminary and non-binding, and that obtaining financing requires separate agreements directly with lenders.

6. Additional Representations for Lenders

If you use the Service as a lender offering financing, you additionally represent and warrant that:

• You are a licensed lending professional or authorized representative of a lending institution, to the extent required by applicable law in the jurisdictions where you operate.
• You will comply with all applicable federal, state, and local laws and regulations governing commercial and business lending, including fair lending laws.
• Any term sheets, indications of interest, rates, or other information you provide through the platform is accurate and not misleading.
• You understand that all communications you submit through the platform are preliminary and non-binding, and that any binding loan commitment requires separate documentation and processes outside the platform.
• You will not use the platform to offer or facilitate consumer loans, or any financing for personal, family, or household purposes.
• You are solely responsible for your own underwriting, due diligence, and lending decisions. RefiHub does not participate in or influence any lending decision.

7. Preliminary, Non-Binding Communications

All communications, term sheets, offers, indications of interest, and other exchanges facilitated through the platform are preliminary and entirely non-binding. Nothing communicated through RefiHub constitutes a commitment to lend, a loan approval, a binding offer, or a guaranteed rate.

The platform facilitates initial connections between parties. Binding agreements, loan commitments, and contractual obligations are the responsibility of the parties and their legal counsel, and must be negotiated and executed directly between the parties.

8. Account Registration

You may be required to create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete business information when creating your account.

9. User Content and Information

By submitting information through the Service, including property details, business financials, and lending criteria, you represent that the information is accurate and that you are authorized to share it. You grant us permission to use this information to facilitate connections and matching on the platform, subject to the privacy controls you configure.

10. No Professional Advice

Nothing on the Service constitutes financial, legal, tax, accounting, or investment advice. All information provided, including market data, property information, and AI-generated analysis, is for general informational purposes only. You should consult with qualified professionals before making any financial or business decisions.

11. Intellectual Property

The Service and its original content, features, and functionality are owned by TGM Ventures, Inc. and are protected by copyright, trademark, and other intellectual property laws.

12. Copyright Policy

We respect the intellectual property rights of others. If you believe content on the Service infringes your copyright, you may submit a takedown notice to our designated agent at legal@refihub.com containing: (i) identification of the copyrighted work, (ii) identification of the infringing material, (iii) your contact information, (iv) a statement of good faith belief, (v) a statement under penalty of perjury that the information is accurate, and (vi) your signature.

13. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information provided through the Service is accurate or complete.

14. Limitation of Liability

To the maximum extent permitted by law, TGM Ventures, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. We do not guarantee the accuracy of any information provided by users, the availability of any loan products, or the outcome of any connection or transaction facilitated through the platform. No user shall have any claim against RefiHub based on any communication, offer, indication of interest, or other exchange made through the platform. Users expressly waive any claim of detrimental reliance, promissory estoppel, or unjust enrichment against RefiHub arising from any communication facilitated through the platform.

15. Indemnification

You agree to indemnify and hold harmless TGM Ventures, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your violation of these Terms, any transaction or agreement you enter into with another user, or your violation of any rights of a third party.

16. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against TGM Ventures, Inc.

Opt-Out. You may opt out of this arbitration provision by sending written notice to legal@refihub.com within 30 days of first accepting these Terms.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 13 through 20.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in King County, Washington.

19. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including by email and through the platform. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

20. General Provisions

These Terms constitute the entire agreement between you and TGM Ventures, Inc. regarding the Service. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. You may not assign or transfer your account or these Terms without our prior written consent. We may assign our rights and obligations without restriction.

21. Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with a revised “Last updated” date. Your continued use of the Service constitutes acceptance of the updated Terms.
